Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and EquiMetrics, doing business as Agnitio ("Agnitio", "we", "us", or "our"). By accessing or using our website, demo generator, onboarding flow, chatbot tools, integrations, and related services (collectively, the "Services"), you agree to these Terms.
1. Eligibility and Authority
You must be legally capable of entering into this agreement. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes.
3. Demo Generation, Onboarding, and Website Scanning
Certain Services allow you to submit a website URL so Agnitio can generate a demo, configure onboarding, create knowledge sources, or otherwise tailor the Services.
By submitting a website URL through the demo generator, signup flow, onboarding flow, or related features, you agree that:
- you are authorized to submit that URL and request analysis of the website;
- you authorize Agnitio to access, retrieve, scan, analyze, cache, and process publicly accessible content from that website for the purpose of providing the Services;
- you will not submit websites you do not own or are not authorized to analyze; and
- you are responsible for obtaining any permissions, notices, or consents required for your use case.
We may refuse, suspend, or limit demo generation or onboarding for any submitted website at our discretion, including for abuse, security, legal, or operational reasons.
4. Acceptable Use
You agree not to:
- use the Services in violation of law or regulation;
- submit malicious content, malware, or unauthorized access requests;
- interfere with or disrupt the Services or third-party systems;
- reverse engineer, copy, or exploit the Services except as allowed by law;
- use the Services to infringe privacy, intellectual property, or contractual rights; or
- use the Services to generate deceptive, unlawful, or abusive chatbot interactions.
5. Customer Content
You retain ownership of content, data, URLs, and materials you submit ("Customer Content"). You grant Agnitio a non-exclusive, worldwide, royalty-free license to host, copy, process, modify, analyze, and use Customer Content as necessary to operate, support, secure, and improve the Services and to fulfill your requests.
6. Third-Party Services
The Services may rely on or integrate with third-party providers, including authentication providers, payment processors, hosting services, analytics providers, e-commerce platforms, and communication services. Your use of those third-party services may also be governed by their separate terms and policies.
7. Fees and Billing
Paid plans, subscriptions, and purchases may be processed by Paddle, which acts as the merchant of record and authorized reseller for applicable transactions. By completing a Paddle checkout, you also agree to Paddle's buyer-facing terms and policies.
Refunds, withdrawal rights, and billing disputes for Paddle-handled purchases are governed by our Refund Policy, Paddle's Buyer Terms, and Paddle's Refund Policy. Unless applicable law gives you a refund right, transactions are non-refundable and non-exchangeable.
8. Intellectual Property
Agnitio and its licensors retain all rights, title, and interest in the Services, including software, designs, branding, and related intellectual property, except for Customer Content and third-party materials.
9. Beta and Preview Features
Demo generation, preview environments, and other beta or early-access features may be incomplete, experimental, or subject to change without notice. We may modify or discontinue them at any time.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNITIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted availability, error-free operation, perfect security, or that generated outputs, demos, or chatbot behavior will be complete, accurate, or suitable for every use case.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNITIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNITIO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AGNITIO FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD $100.
12. Indemnity
You agree to defend, indemnify, and hold harmless Agnitio and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses arising from your Customer Content, your submitted URLs, your use of the Services, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk for us or others, fail to pay fees, or where required for legal, security, or operational reasons.
14. Governing Law and Disputes
These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. The courts located in Aarhus, Denmark will have exclusive jurisdiction unless applicable law requires otherwise.
15. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by updating the effective date above. Continued use of the Services after updated Terms take effect means you accept the revised Terms.
